About the role

Reporting to the Head of Syndications Agency, the Agency Specialist oversees a portfolio of complex, lead-arranged syndicated transactions. A core function of this role is the lifecycle management of lead syndicated Credit Agreements for both private and public sector entities. The Specialist is responsible for ensuring strict adherence to the operational provisions of the loan documentation, from initial closing through to maturity. This involves high-level coordination with institutional lenders and internal stakeholders to manage funding, repayments, all deliverables, reporting and compliance tracking. The Specialist will utilize the Complex Loans (CL) system to maintain deal integrity and facilitate all syndication workflows.

Please note: This is a temporary 11 month term opportunity.

Accountabilities

The Agency Specialist ensures the operational integrity of our complex lead syndicated portfolios. By maintaining precise records and facilitating seamless communication between borrowers and syndicate participants, this role mitigates operational risk and upholds our reputation as a premier Facility Agent. Core responsibilities include:

  • Portfolio Management and Stakeholder Coordination
    • Manage a portfolio of complex syndicated facilities, ensuring all operational milestones and funding requirements are met across multiple concurrent deals.
    • Uphold our standing reputation as a premier Facility Agent through precision, responsiveness and execution.
    • Acts as the primary operational point of contact for borrowers and syndicate participants on all operation inquiries.
  • Deal Execution:
    • Execute daily funding activities, including drawdowns, rollovers, and repayments, ensuring all large-value transfers are processed with absolute precision and in compliance with internal controls.
    • Review and sign off on Agency language within draft Credit Agreements, providing operational guidance.
    • Manage the closing process by tracking the receipt of all required documentation and conditions precedent to ensure a seamless deal activation.
    • Direct the closing funds flow process, coordinating closely with Treasury, Settlement teams, legal counsel and borrowers to ensure the accurate and timely movement of capital.
    • Facilitate complex funding events, managing the collection of funds from the lender group and the subsequent disbursement of proceeds to various third-party recipients and relevant deal parties.
    • SyndTrak Site creation of SyndTrak sites for all new deals as well as maintenance of each lead site.
    • Monitoring of all Credit Agreement deliverables and compliance reporting.
    • Manage invitation letters and coordinate lender communications.
    • Pitch Book and Slide Decks: Responsible for maintaining and updating the Loan Syndications pitch book and slide deck with current market data.
    • Review of all new deals where ATB is a participant lender and prepare a weekly presentation.
    • Manages the Market Comparables Database
  • Post-Deal Oversight:
    • Resolve complex loan servicing discrepancies, addressing funding breaks or calculation issues to ensure the facility remains in sync with the Credit Agreement.
    • Manage all post-closing activity, including the distribution of lender notifications, fee collections, and the processing of rollovers and repayments.
    • Maintain the financial accuracy of the portfolio by reconciling transaction data and ensuring all syndicate members receive timely payments and rate updates.
  • Operational Oversight and System Integrity:
    • Maintain the accuracy of the Complex Loans (CL) system, performing regular data reconciliations to ensure facility structures, lender positions, and pricing are accurately reflected.
    • Identify and address operational bottlenecks, suggesting process improvements within the Complex Loans (CL) workflow to enhance deal processing speed and accuracy.
    • Proactively manage data exceptions, resolving system discrepancies before they impact downstream reporting or syndicate distributions.

Accountabilities

  • Process Improvement:
    • Support strategic initiatives and working groups aimed at refining Agency workflows and adapting to evolving industry standards or regulatory requirements.
    • Develop and implement operational controls within the Complex Loans (CL) environment to reduce manual intervention and mitigate the risk of processing errors.
    • Contribute subject matter expertise to system enhancements, ensuring that new features or updates align with the day-to-day needs of the Agency desk.
  • Compliance and Risk Management:
    • Facilitate the timely distribution and monitor reporting deliverables as mandated by the Credit Agreement, ensuring syndicate members have transparent access to borrower financial disclosures.
    • Strictly adhere to the Agency provisions within the Credit Agreement to protect the interests and financial integrity of the bank and the lender group.
    • Identify and escalate potential operational risks, ensuring that any breaches of the credit agreement are promptly communicated to relevant internal and external parties.
  • Financial and System Management
    • Maintain the integrity of the SyndTrak portal, ensuring all credit agreements, financial reports, and funding notices are accurately posted for syndicate access.
    • Reconcile incoming funds from syndicate participants, verifying that lender remittances match funding notices to facilitate a timely closing or drawdown.
    • Direct daily cash movements and facility accounting, ensuring that all loan activity is precisely reflected in both the system of record and the final distribution to relevant parties.

Skills, experience & requirements

  • Experience and Qualifications:
    • 3 to 5 years of experience in Loan Syndications, with a specific focus on Facility Agency or Middle Office operations on the Lead/Agent side.
    • Deep proficiency in interpreting Credit Agreements, including a demonstrated ability to translate complex legal provisions into operational workflows.
    • Practical knowledge of the loan lifecycle, including deal onboarding, funding mechanics, covenant tracking, and maturity management.
    • Familiarity with industry-standard payment systems and the coordination of high-value wire transfers (e.g., SWIFT or internal treasury platforms).
    • Working knowledge of current interest rate benchmarks (e.g., SOFR) and the operational implications of rate resets.
  • Education and Professional Designations:
    • Bachelor’s Degree in Business, Economics, Finance, or a related field.
    • Continuous Learning: A commitment to staying current with evolving loan market standards and regulatory requirements.
  • Core Competencies:
    • Risk and Control Discipline: A high degree of attention to detail with a strong understanding of the operational and compliance risks inherent in syndicated lending.
    • Execution Precision: The ability to provide accurate and timely support across complex, high-volume transactions where precision is non-negotiable.
    • Operational Excellence: A focus on driving efficiency and accuracy through scalable workflows and the effective use of the Complex Loans (CL) system.
    • Financial and Product Acumen: Deep technical knowledge of syndicated lending structures and the mechanical flow of capital between borrowers and lender groups.
    • Cross-Functional Partnership: The ability to work seamlessly with internal teams, legal counsel, and operations groups at participating financial institutions to resolve roadblocks.
    • Accountability and Ownership: A proactive approach to identifying potential discrepancies and resolving them before they require formal escalation.
    • Adaptability Under Pressure: The capacity to perform effectively and maintain accuracy in a fast-paced, deadline-driven environment.
