Corporate, External and Legal Affairs (CELA) has an immediate opening for a Principal Corporate Counsel attorney to join the Global Deal Team, which takes pride in their collaboration, learning, energy, and relationship building with business leaders and customers. Your primary responsibility will be supporting Microsoft’s Customer and Partner Solutions organization. In this role, you will work with cross functional teams to enable strategic relationships with Microsoft’s most important customers while working on cutting-edge issues related to cloud computing, artificial intelligence (AI), and similar technologies at the intersection of technology, business, and the law.

Qualifications
Required/Minimum Qualifications
- Juris Doctor Degree or international equivalent degree AND 4+ years' experience as a practicing attorney
- OR equivalent experience.
- Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.
- 1+ years' experience working as an attorney on commercial transactions
Additional or Preferred Qualifications
- Experience supporting complex transactions (i.e. outsourcing, deals, mergers & acquisitions).
- Experience with cloud computing, generative and traditional AI, and their related legal issues.
- Demonstrated experience with negotiation and legal drafting for complex deals.
- Track record of legal analysis and consideration of business goals, risk tolerance, and stakeholder priorities.
- Demonstrated customer focus.
- Demonstrated experience partnering with cross-functional teams to solve complex issues and collaborate to generate consensus across diverse points of view.
- Experience working in an agile environment and openness to adapt practice in response to evolving business strategies and transformation.
- Track record of project management skills and the ability to work efficiently and meet deadlines in the face of competing priorities.
Legal Counsel IC4 - The typical base pay range for this role across the U.S. is USD $132,200 - $232,800 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $165,800 - $248,600 per year.

Responsibilities
Legal Advice and Counsel
- Provide legal support to the Microsoft Customer and Partner Solutions organization, addressing complex legal and business matters.
- Lead complex technology transactions and develop negotiation strategies.
- Collaborate across CELA and business teams to solve problems and provide guidance.
- Engage outside counsel effectively and escalate matters appropriately to support informed decision-making.
- Stay informed of rules, regulations, and other statutory requirements relating to Microsoft’s business and advise business clients and CELA colleagues accordingly.
- Communicate clearly to support negotiations, resolve issues, and advance projects.
- Support the business teams in ensuring legal compliance and in providing solutions to mitigate risks.
