Job Description

WHAT IS THE OPPORTUNITY?

Working as part of the RBC Law Group, this Senior Counsel role primarily provides legal support and advice to RBC Investor Services (RBCIS) in Canada.

WHAT WILL YOU DO?

  • Legal advisory services to the custody, investment funds, pension funds, insurance custody, HNW custody and sub-custody businesses (the “Custody Segment”), as well as the RBC Global Transaction Banking foreign correspondent banking business (the “FI Segment”) operations, client service and sales.

  • Client documentation for the Custody and FI Segments, including drafting and updating of client precedent agreements. Reviewing, drafting and negotiating client trust, custody, fund administration, correspondent banking agreements and related agreements in Canada.

  • Provide legal support on strategic initiatives, projects and product development.

  • Advise on custody, investment fund and pension fund related legal issues and regulatory developments.

  • Assist the RBC litigation and disputes team in litigation matters.

  • Marketing and communications support to RBC IS.

  • Senior responsibility for assessing and responding to client and business legal, and documentation queries from the Custody and FI Segments, and preparation and negotiation of legal documentation.

  • Potential assistance from time to time on Canadian Wealth Management matters (e.g. regulatory developments, account documentation, project initiatives)

WHAT DO YOU NEED TO SUCCEED?

Must have:

  • Licensed and practicing Lawyer with a minimum of 7 years of relevant experience gained at a law firm, financial institution, asset manager, pension fund or regulator.

  • Motivated to provide high standards of professional client service in a fast-paced environment.

  • Proven record of contract drafting and negotiating skills with external counsel. The role requires strong advocacy skills and an ability to communicate effectively and concisely and to deliver sound, practical legal advice relating to sensitive matters.

Nice-to-have:

  • Experience with reviewing, drafting and negotiating custody and institutional trust agreements for investment funds or pension funds.

  • Proven record of providing advice on regulatory matters impacting investment funds or pension funds.

  • Experience in advising on the fiduciary role of trustee in institutional trust businesses.

  • Understanding of the market structures and regulation for securities settlement, investment fund unit settlement and/or payment processing in Canada.
